We strive to meet all agreed-upon deadlines but cannot guarantee delivery times due to factors beyond our control, including but not limited to customs delays, shipping disruptions, or supplier issues.

As a client or user of our services, you agree to:

4. Payment Terms

- Due within 30 days of invoice date
- Subject to late payment charges of 1.5% per month

5.2 Client Intellectual Property

5.3 Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. This obligation survives termination of our services.
6. Limitation of Liability
6.1 Service Delivery
While we strive to provide high-quality services, we cannot guarantee specific outcomes or results. Our services are provided on an "as is" basis, and we make no warranties, express or implied, regarding service delivery.
6.2 Liability Limitations
To the maximum extent permitted by law, GlobaExport's total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
6.3 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters or extreme weather conditions
- Government actions or regulatory changes
- Labor disputes or transportation disruptions
- Pandemic or health emergencies
- Supplier failures or market disruptions
7. Quality Assurance and Warranties
7.1 Service Standards
We are committed to providing professional services in accordance with industry standards and best practices. However, we do not warrant that our services will be error-free or uninterrupted.
7.2 Product Quality
While we conduct reasonable quality control measures, the ultimate responsibility for product quality and compliance rests with the manufacturers and suppliers. We facilitate quality inspections but do not guarantee product performance.
7.3 Market Conditions
Market conditions, prices, and availability of products can change rapidly. Information provided is based on conditions at the time of service delivery and may not reflect current market status.
8. Termination
8.1 Termination by Either Party
Either party may terminate ongoing services with 30 days' written notice. Completed services and outstanding invoices remain payable regardless of termination.
8.2 Immediate Termination
We reserve the right to immediately terminate services if:
- Payment is overdue by more than 60 days
- Client breaches any material term of this agreement
- Client engages in illegal or unethical business practices
- Continuation of services would violate applicable laws
8.3 Effect of Termination
Upon termination, all obligations under active contracts continue until completion or mutual agreement to cancel. Confidentiality obligations remain in effect indefinitely.
9. Dispute Resolution
9.1 Negotiation
Any disputes arising from our business relationship should first be addressed through good faith negotiations between the parties.
9.2 Mediation
If direct negotiation fails, disputes may be submitted to mediation by a mutually agreed mediator before pursuing other legal remedies.
9.3 Arbitration
For significant commercial disputes exceeding $50,000, parties may agree to binding arbitration under the rules of the International Chamber of Commerce.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Turkey. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
10.1 International Transactions
For international transactions, specific terms may be governed by internationally recognized commercial law, including the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable.
11. Miscellaneous
11.1 Entire Agreement
These Terms, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
11.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
11.3 Assignment
These Terms may not be assigned by either party without the written consent of the other party, except that GlobaExport may assign these Terms to a successor entity.
